3. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete information about your IT needs
- Cooperate with our team during service delivery
- Make timely payments as agreed in service contracts
- Maintain appropriate security measures for your systems
- Notify us promptly of any issues or concerns
4. Service Level Agreement
We strive to provide excellent service and will:
- Respond to inquiries within 24 hours when possible
- Provide professional and reliable IT services
- Maintain confidentiality of your business information
- Use industry best practices and standards
- Provide clear communication throughout projects
Important: Response times and service delivery are subject to circumstances beyond our control, including but not limited to client availability, system complexity, third-party dependencies, and force majeure events. We are not liable for delays or failures resulting from these circumstances.
5. Payment Terms
Payment terms will be specified in individual service agreements. Generally:
- Invoices are due within 30 days of receipt
- Late payments may incur additional charges
- Services may be suspended for overdue accounts
- All prices are in South African Rand unless otherwise specified
6. Force Majeure and Service Limitations
We are not liable for delays, failures, or inability to perform services due to circumstances beyond our reasonable control, including but not limited to:
- Client unavailability or delayed responses
- Third-party service outages or failures
- Internet connectivity issues
- Power outages or infrastructure failures
- Natural disasters, pandemics, or government actions
- System complexity beyond initial assessment
- Insufficient client resources or access
- Changes in client requirements during projects
- Technical issues with client systems or software
Service Disclaimer: While we strive for excellence, IT services are inherently complex and subject to various technical and environmental factors. We cannot guarantee 100% uptime, immediate response times, or perfect outcomes in all circumstances.
7. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the amount paid for the specific service
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for data loss due to circumstances beyond our control
- Clients are responsible for maintaining their own data backups
- We are not liable for business interruption or lost profits
- Service delays do not constitute breach of contract
8. Confidentiality
We understand the importance of confidentiality and will:
- Keep all client information strictly confidential
- Not disclose business information to third parties
- Use client information only for service delivery purposes
- Maintain appropriate security measures for data protection
9. Termination
Either party may terminate services with written notice. Upon termination:
- All outstanding invoices become immediately due
- We will return or securely destroy client data as requested
- Confidentiality obligations continue after termination
- Any ongoing projects will be completed or transferred as agreed
10. Governing Law
These Terms are governed by the laws of South Africa. Any disputes will be resolved in the courts of South Africa.
11. Changes to Terms
We may update these Terms from time to time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the new Terms.
